GST registration and Udyam registration answer different questions for a solar inverter dealer. GST determines whether the business must register and follow indirect-tax rules. Udyam records an eligible enterprise for MSME classification. Neither one appoints you as a dealer.
The expensive mistake is treating them as one paperwork bundle. A dealer can be eligible for Udyam while not yet liable for GST. Another dealer can be liable for GST and choose not to register on Udyam. The answer changes with turnover, location, supply type, sales route, and business constitution.
This guide reflects central rules and official portals checked on 26 September 2026. State registrations, municipal licences, professional tax, Shops and Establishments rules, and local trade permissions sit outside this checklist. Use a chartered accountant or GST practitioner for your facts.
First decide what the business will actually supply
Start with transactions, not registration labels. Write down what the business will invoice during its first twelve months.
| Planned activity | Why it changes the review |
|---|---|
| Buy inverters and resell them within one State | May fit the goods-only GST analysis if no other taxable service is supplied |
| Sell inverters to customers in another State | Inter-State taxable goods require a separate Section 24 review |
| Charge for survey, design, installation, commissioning, or maintenance | The business is no longer engaged exclusively in supplying goods |
| Earn commission while supplying on another taxable person’s behalf | The agent provision in Section 24 may apply |
| Sell through an e-commerce operator | Current notification conditions need a platform-specific check |
| Operate branches under one PAN | Aggregate turnover and MSME classification look across the enterprise, not one shop in isolation |
When can GST registration become mandatory?
Section 22 of the Central Goods and Services Tax Act, 2017 sets the turnover-based registration rule. Section 24 lists situations where compulsory registration may apply regardless of that normal threshold. Notification 10/2019-Central Tax then provides a conditional exemption from registration for certain people engaged exclusively in supplying goods where aggregate turnover does not exceed ₹40 lakh.
That creates a decision, not a slogan.
| Dealer facts | Working classification as of 26 September 2026 | What to verify |
|---|---|---|
| Goods only, below ₹40 lakh, in a territory covered by Notification 10/2019 | Registration may not yet be mandatory | All notification conditions and Section 24 triggers |
| Goods only in Arunachal Pradesh, Manipur, Meghalaya, Mizoram, Nagaland, Puducherry, Sikkim, Telangana, Tripura, or Uttarakhand | The ₹40 lakh notification does not provide the same exemption | The applicable Section 22 threshold and State position |
| Goods plus installation, commissioning, maintenance, consulting, or another taxable service | The goods-only ₹40 lakh exemption may not fit | The normal Section 22 threshold and supply classification |
| Inter-State taxable sale of goods | Section 24 can require registration | Current statutory and notification exceptions, including the sales route |
| Taxable supply as an agent for another taxable person | Section 24 can require registration | Whether the legal and commercial relationship is truly agency |
| Voluntary registration before liability | Permitted under Section 25(3) | Filing workload, invoicing, tax collection, input tax credit, and cancellation consequences |
The ten territories in the second row come from Notification 10/2019-Central Tax. The underlying Section 22 threshold is not identical across all of them, so do not replace the failed ₹40 lakh test with one assumed number.
Aggregate turnover is wider than shop sales
The Act defines aggregate turnover on an all-India basis for businesses under the same PAN. It includes taxable supplies, exempt supplies, exports, and inter-State supplies, while excluding GST itself and inward supplies taxed under reverse charge.
For a dealer with two locations, the test is not each outlet’s sales. Use the combined PAN-level figure. Keep one reconciliation showing invoiced goods, services, branch supplies, exempt turnover, exports if any, and adjustments.
Voluntary registration is still a real compliance choice
A buyer may prefer dealing with a GST-registered supplier. That commercial preference does not itself rewrite the legal threshold, but it can influence a voluntary decision.
Section 25(3) allows voluntary registration. Once registered, the provisions that apply to a registered person apply to that business. Model the recurring work before opting in: tax invoices, records, returns, reconciliations, input tax credit controls, e-invoicing if later applicable, and cancellation or suspension risk.
If liability has already arisen, Section 25 generally requires an application within thirty days. Use the official GST registration help page and current Form GST REG-01 process. Do not rely on an old blog screenshot for a current portal field.
Prepare a GST registration file before opening the portal
The exact evidence depends on the constitution and premises. Build one controlled folder with current, matching records:
Match spelling, address format, entity type, and signatory capacity across records before submission. A registration number cannot repair contradictory source documents.
This is a preparation list, not a promise that the portal or officer will accept a particular document. Check the live form and current GST guidance for the exact constitution and premises.
What Udyam registration does for a dealer
Udyam is the Government of India’s MSME registration system. The official Udyam portal describes registration as free, online, paperless, based on self-declaration, permanent, and not subject to renewal.
For a pure inverter trader, one limitation matters more than the certificate design. The Ministry of MSME’s office memorandum dated 2 July 2021 permits retail and wholesale trades under NIC divisions 45, 46, and 47 to register. It restricts benefits for those trade MSMEs to Priority Sector Lending only.
Current MSME classification limits
Ministry of MSME Notification S.O. 1364(E), dated 21 March 2025 and effective from 1 April 2025, revised the classification limits. The official portal publishes the same figures.
| Category | Investment in plant, machinery, or equipment | Annual turnover |
|---|---|---|
| Micro | Not more than ₹2.5 crore | Not more than ₹10 crore |
| Small | Not more than ₹25 crore | Not more than ₹100 crore |
| Medium | Not more than ₹125 crore | Not more than ₹500 crore |
Both tests matter. Crossing either ceiling moves the enterprise out of that category under the composite criteria. All units listed against the same PAN are treated together for classification. Export turnover is excluded from the turnover calculation under the principal Udyam notification.
These limits classify the enterprise. They do not set a minimum investment for becoming an inverter dealer, and they do not indicate Qbits acceptance.
Prepare the Udyam file separately
The official process asks for Aadhaar identification appropriate to the constitution. For a proprietorship it is the proprietor’s Aadhaar, for a partnership the managing partner’s, and for a Hindu Undivided Family the Karta’s. Companies, limited liability partnerships, cooperative societies, societies, and trusts use the organisation or authorised signatory route stated on the portal.
Prepare:
- the correct Aadhaar holder and name;
- PAN for the enterprise or person as applicable;
- GSTIN where GST law makes it applicable;
- enterprise name, constitution, commencement details, and official address;
- bank details requested by the live form;
- actual units or locations;
- current employment details; and
- NIC activities that match what the business really does.
The portal draws PAN-linked and GST-linked investment and turnover information from government databases. Notification S.O. 1055(E), dated 5 March 2021, makes the GSTIN requirement depend on the CGST Act. Udyam registration does not create a GST exemption.
One enterprise should not file more than one Udyam registration. Multiple manufacturing or service activities can be recorded in one registration. A trader should select the relevant wholesale or retail activity and add a genuine service activity only if the business actually performs it.
Keep GST, Udyam, and the partner application separate
| Record | Decides | Does not decide |
|---|---|---|
| GST registration | Tax identity and registered-person compliance under GST law | Dealer appointment or MSME classification |
| Udyam registration | MSME identity and classification for the recorded enterprise | GST liability, Qbits acceptance, or every MSME benefit |
| Qbits partner application | Information Qbits can review for a proposed channel route | Automatic appointment, margin, credit, territory, exclusivity, stock support, leads, or earnings |
The current Qbits application exposes a wording conflict. It marks a field labelled GST Number as required, but the placeholder says GST or PAN number. Confirm the expected entry with Qbits for your constitution and tax status. Do not enter another entity’s GSTIN, invent a number, or assume the placeholder is tax advice.
Before applying, reconcile these fields across your records:
- legal name and trading name;
- PAN and business constitution;
- GSTIN and registered address, if applicable;
- Udyam Registration Number and classified enterprise details, if registered;
- office and warehouse locations;
- authorised contact and signatory; and
- actual business activity, role, and sales geography.
If the records disagree, fix the source record through its official process first. A footnote in a partner application is not a substitute for a valid amendment.
A practical order for a new dealer business
There is no universal sequence, but this order prevents avoidable contradictions:
- Finalise the business constitution, PAN identity, ownership, and authorised signatory.
- Map goods, services, sales channels, customer locations, and expected aggregate turnover.
- Obtain a written GST applicability review using current law and notifications.
- Complete GST registration if mandatory, or record the basis for a voluntary or not-yet-required position.
- Decide whether Udyam serves a real lending, tender, or programme need.
- If registering on Udyam, use the official portal and activity codes that match the business.
- Reconcile names, addresses, identifiers, and activities across the records.
- Prepare the operational facts requested by the partner form.
Only then use the Qbits partner application and choose the role that matches the proposed business. Submission begins a separate review. It does not confirm appointment or commercial terms.
